Terms of Service

1. Eligibility and accounts

You must have the legal capacity to enter into these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization. You are responsible for maintaining the confidentiality of your account credentials and for activity under your account.

2. The Services

KiloAgent provides software and automation capabilities, which may include integrations with third-party platforms (e.g. messaging or cloud providers). Features may change over time. We may suspend or discontinue parts of the Services with reasonable notice where practicable.

3. Acceptable use

You agree not to:

• violate applicable law or third-party rights;
• use the Services to transmit malware, spam, or deceptive or unlawful content;
• probe, scan, or test the vulnerability of our systems without authorization;
• reverse engineer or attempt to extract source code except where permitted by law;
• use the Services to build a competing product or to train generalized AI models on our outputs without our written consent, if restricted by your agreement or order form.

4. Fees, billing, and payments

Paid plans, subscriptions, and one-time purchases are billed as described at checkout or in an order form. Payments are processed by our payment provider (e.g. Stripe). You authorize us and our payment provider to charge your selected payment method. Fees are exclusive of applicable taxes unless stated otherwise. Unless otherwise agreed, subscriptions renew according to the terms presented at purchase. You may cancel in accordance with the cancellation process made available in the Services or via your billing provider.

5. Customer data and privacy

Our collection and use of personal information is described in our Privacy Policy. You are responsible for obtaining any necessary rights and consents for data you submit to the Services.

6. Intellectual property

We retain all rights in the Services, our branding, and our software. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Services during your subscription or trial. Feedback you provide may be used by us without obligation to you.

7. Third-party services

The Services may integrate with third-party products. Those services are governed by their own terms and privacy policies. We are not responsible for third-party services.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI AND AUTOMATION OUTPUTS MAY BE INACCURATE OR INCOMPLETE; YOU ARE RESPONSIBLE FOR REVIEWING OUTPUTS BEFORE RELYING ON THEM FOR DECISIONS OR ACTIONS.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER KILOAGENT NOR ITS SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THAT PERIOD OR (B) ONE HUNDRED US DOLLARS (USD $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.

10. Indemnity

You will defend and indemnify KiloAgent and its affiliates, officers, and employees against third-party claims arising from your use of the Services, your data, or your violation of these Terms, subject to applicable law.

11. Termination

You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms or if required for legal or security reasons. Provisions that by their nature should survive will survive termination.

12. Governing law and disputes

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles. The courts of Dubai, UAE, shall have exclusive jurisdiction, subject to mandatory rights you may have under the laws of your country of residence.

13. Changes

We may modify these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. If changes are material, we will provide notice as required by law or through the Services. Continued use after the effective date constitutes acceptance of the revised Terms.
